Terms of Service

1. Acceptance of Terms

By accessing or using the RACE platform (“Platform”), including our website, mobile applications, and any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service following any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for updates.

2. Description of Service

RACE is an endurance sports platform that connects athletes, event organizers, and the broader endurance community. The Service provides the following features:

  • Race Discovery — Browse and search endurance events including triathlons, marathons, cycling races, open water swims, obstacle course races, and other endurance competitions.
  • Event Registration — Register and pay for events directly through the Platform with a secure, streamlined checkout experience.
  • Athlete Profiles — Create and maintain a personal athlete profile showcasing your race history, accomplishments, and endurance sport activity.
  • Community Feed — Share updates, race recaps, training milestones, and engage with other athletes in the endurance sports community.

3. Account Registration & Responsibilities

To access certain features of the Service, you must create an account. When registering, you agree to the following:

  • Accurate Information — You must provide truthful, accurate, and complete information during registration and keep your account information up to date at all times.
  • One Account Per Person — Each individual may maintain only one account on the Platform. Creating multiple accounts for the purpose of abuse, circumventing restrictions, or any other reason is strictly prohibited and may result in termination of all associated accounts.
  • Account Security — You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Athlete Conduct

As a user of the Platform, you agree to conduct yourself in a manner consistent with the spirit of the endurance sports community. Specifically, you agree to the following:

  • No False Information — You shall not provide false, misleading, or fraudulent information on your profile, race registrations, or any other part of the Platform.
  • No Impersonation — You may not impersonate any other person, athlete, or entity, or falsely claim an affiliation with any person or organization.
  • Community Feed Standards — Content posted to the community feed must be related to endurance sports, racing, training, or the broader athletic community. Off-topic, promotional, or irrelevant content may be removed at our discretion.
  • Prohibited Content — Harassment, hate speech, threats, spam, sexually explicit material, and any content that promotes violence or discrimination is strictly prohibited and will result in immediate action, up to and including permanent account termination.

5. Event Director Terms

If you use the Platform as an event organizer or race director (“Event Director”), the following additional terms apply:

  • Verification Required — All Event Directors must complete a verification process before publishing events on the Platform.
  • Accuracy of Event Information — Event Directors are solely responsible for the accuracy and completeness of all event details including, but not limited to, date, location, course description, distances, pricing, age requirements, and any safety information.
  • Service Fees — RACE charges a service fee of 8% + $1.50 per registration, which is added on top of the athlete's ticket price at checkout. Event Directors receive 100% of the listed ticket price for their event.
  • Payment Processing — All payments are processed through Stripe Connect. Event Directors must maintain an active Stripe Connect account in good standing to receive payouts.
  • Obligation to Athletes — Event Directors must honor all registered athletes and the event details as listed on the Platform at the time of registration.

6. Payments & Refunds

All financial transactions on the Platform are subject to the following terms:

  • Payment Processing — All payments are securely processed by Stripe. By making a purchase on the Platform, you agree to Stripe's terms of service and privacy policy in addition to these Terms.
  • Service Fees Non-Refundable — The RACE service fee (8% + $1.50 per registration) is non-refundable under all circumstances, including event cancellation.
  • Refund Policy — Refunds of the event ticket price are subject to the individual Event Director's refund policy as stated on the event listing. RACE does not independently issue refunds for event registrations.
  • Chargebacks — Any chargebacks or payment disputes are handled in accordance with Stripe's dispute resolution procedures.

7. Intellectual Property

The following terms govern intellectual property rights related to the Platform and user-generated content:

  • Platform IP — All intellectual property rights in the Platform, including but not limited to the RACE name, branding, logos, design, software, code, algorithms, and documentation, are and shall remain the exclusive property of RACE.
  • User Content Ownership — You retain full ownership of any content you submit, post, or display on or through the Service (“User Content”), including photos, text, race recaps, and profile information.
  • License to RACE — By posting User Content on the Platform, you grant RACE a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute, and adapt your User Content solely for the purposes of operating, promoting, and improving the Service.

8. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.

9. Disclaimers & Limitation of Liability

Please read this section carefully as it limits the liability of RACE and its affiliates.

  • Platform Role — RACE operates solely as a registration and discovery platform. RACE is not an event organizer, race director, or sports governing body.
  • No Liability for Events — RACE shall not be held liable for any event cancellations, postponements, course changes, injuries, accidents, property damage, or death arising from participation in any event listed on the Platform.
  • No Liability for Organizer Conduct — RACE is not responsible for the actions, omissions, representations, or conduct of any Event Director.
  • “As Is” Provision — THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Indemnification

You agree to indemnify, defend, and hold harmless RACE, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) any User Content you submit, post, or display on or through the Service; or (e) your participation in any event listed on the Platform.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Florida.

12. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (“AAA”). The arbitration shall be conducted in the State of Florida by a single arbitrator appointed in accordance with the AAA rules.

The arbitrator's decision shall be final and binding upon both parties and may be entered as a judgment in any court of competent jurisdiction.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, both parties waive any right to a jury trial.

13. Termination

RACE reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violations of these Terms, fraudulent activity, conduct harmful to other users or the Platform, or extended periods of inactivity.

Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.
